1. Acceptance of Terms

By creating an account, accessing, or using Templa ('the Service'), you agree to be bound by these Terms of Service ('Terms'). If you are entering into these Terms on behalf of an organization or legal entity, you represent and warrant that you possess the necessary legal authority to bind such entity.

2. Description of Service & File Lifecycle

Templa provides a document automation engine, AST template parser for Microsoft Word (.docx) files, dynamic form generation, lossless DOCX/PDF compilation, team workspaces, and RESTful API endpoints. Generated files are retained on our servers for a temporary 1-hour period to facilitate download, after which they are permanently deleted by automated cleanup routines.

3. User Accounts & API Security

You are responsible for maintaining the confidentiality of your account credentials and API secret keys. You agree to notify us immediately of any unauthorized access or security breach. Templa cannot and will not be liable for any loss or damage arising from your failure to safeguard your API credentials.

4. Intellectual Property & User Content

You retain 100% ownership and all intellectual property rights in and to the template files, placeholder schemas, images, and data inputs you upload to Templa. We claim no ownership over your generated documents. By using the service, you grant Templa a limited, worldwide, non-exclusive license solely to process and render your documents in volatile memory as instructed.

5. Acceptable Use Policy

You agree not to use Templa for any unlawful, fraudulent, or harmful purposes. Prohibited activities include:

✕Generating fraudulent documents, counterfeit identity papers, or deceptive legal instruments.
✕Attempting to probe, scan, or breach the vulnerability of any Templa system or network.
✕Deploying automated scripts, bots, or scrapers that exceed documented API rate limits or disrupt service availability.
✕Uploading files containing viruses, Trojan horses, worms, ransomware, or malicious macros.
✕Reverse-engineering, decompiling, or attempting to extract the underlying source code of the proprietary engine.

6. Subscriptions, Workspace Quotas & API Limits

Templa offers free and premium workspace tiers. We reserve the right to establish and enforce fair-use rate limits and monthly document compilation quotas. Upgrades, seat additions, and billing cycles will be clearly displayed prior to subscription confirmation.

7. Service Availability, Maintenance & Termination

We strive to maintain a 99.9% uptime for our core compilation engine and API endpoints. We may temporarily suspend access for scheduled maintenance. You may terminate your account at any time. We reserve the right to suspend or terminate accounts that violate our Acceptable Use Policy.

8. Warranty Disclaimer & Limitation of Liability

Templa is provided on an 'as-is' and 'as-available' basis without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, Templa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the European Union, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts, with amicable resolution favored.

10. Amendments & Contact Information

We may update these Terms periodically to reflect evolving regulatory standards or service enhancements. We will notify you of material revisions via email or prominent in-app notification. For any questions regarding these Terms, contact us at legal@templa.io.
